Terms of Service
These Terms of Service (“Terms”) are a binding agreement between you (“you”, “Merchant”) and PAC Door Order, operated by Phill Anton Consulting LLC (“PAC”, “we”, “us”). By creating an account or using the website at pac-os.app, the embedded door-builder iframe, or the administrative dashboard (collectively, the “Service”), you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
PAC provides a multi-tenant SaaS platform that lets cabinet door manufacturers configure custom door catalogs, accept orders from their end customers through an embedded iframe, and dispatch those orders to one of three checkout backends:
- Shopify — the order is created as a Draft Order in the Merchant’s Shopify store.
- QuickBooks Online — the order is created as an Invoice in the Merchant’s QuickBooks Online company via Intuit’s API.
- Email Invoice — a PDF invoice is emailed to the Merchant and (optionally) to the customer for offline payment.
The Service is provided as-is; the specific features available may change over time. We will not materially reduce a feature that you actively use without at least 30 days’ notice in the merchant admin dashboard.
PAC is a software tool, not the seller
PAC provides the software that lets you build and transmit orders. PAC is not the manufacturer, seller, or merchant of record for any door or product ordered through the Service. Each order is a transaction between the Merchant and the Merchant’s customer; PAC is not a party to that transaction and is not responsible for the physical product or its manufacture, quality, fitness, safety, pricing, payment, taxes, delivery, installation, returns, refunds, or warranty. Those are solely between the Merchant and its customer.
2. Accounts and eligibility
- You must be at least 18 years old and have authority to bind the business you represent.
- You are responsible for the security of your credentials. Notify us promptly at info@phillanton.com if you believe your account has been compromised.
- You are responsible for the actions of users you invite into your organization, including any orders or integrations they configure.
- You will provide accurate information when registering and keep it current.
3. Acceptable use
You agree not to:
- Use the Service to violate any law or any third party’s rights.
- Reverse-engineer, decompile, or attempt to extract source code, except where this restriction is prohibited by law.
- Probe, scan, or test the vulnerability of the Service or breach any security or authentication measure.
- Interfere with or disrupt the Service or the servers or networks providing the Service.
- Use the Service to send unsolicited commercial communications.
- Resell, sublicense, or expose the Service’s API to a competing service without our written permission.
- Upload content that infringes intellectual property rights or is unlawful, defamatory, or harmful.
- Copy, reproduce, or imitate the Service, its user interface, or its look and feel, or create any derivative work of it.
- Use the Service, its output, or any data obtained from it to design, develop, train, or operate a competing product or service. This does not restrict your use of your own uploaded content or your own customers’ data.
- Scrape, crawl, harvest, or bulk-extract the Service’s tool libraries, door-style catalog, cross-sections, pricing, or other content, whether manually or by automated means.
- Remove, obscure, or alter any proprietary or legal notice in the Service.
4. Third-party integrations
The Service connects to third-party services including Intuit QuickBooks Online, Shopify, Resend, Mapbox, Sentry, PostHog, Supabase, Vercel, Google Document AI, Anthropic, and OpenAI. Your use of those third-party services is governed by their own terms and privacy policies, which you should review.
When you connect a third-party service to PAC (for example, by clicking “Connect QuickBooks”), you grant PAC permission to act on your behalf within the scope of the OAuth grant you authorize, solely to provide the Service. You can revoke that permission at any time by disconnecting from the relevant page in PAC admin or directly in the third-party service’s settings.
PAC is not responsible for the availability, accuracy, or behavior of third-party services. If Intuit or Shopify changes their API, suspends a feature, or rejects a request, the Service will surface the error to you but cannot guarantee that the third-party operation will complete.
5. Customer data and merchant responsibilities
You are the data controller for the customer information your end customers submit through your embedded door builder. PAC processes that information on your behalf as described in the Privacy Policy. You are responsible for:
- Having a lawful basis to collect and process your customers’ personal information.
- Providing your customers with appropriate privacy notices.
- Responding to your customers’ data-rights requests (access, correction, deletion). PAC will assist you in good faith.
- Honoring the terms of your agreement with Intuit, Shopify, and any other connected service.
- Being the seller and merchant of record for every order placed through your builder. You are solely responsible to your customers for the product, pricing, taxes, fulfillment, delivery, returns, refunds, and any warranty, and you will not represent PAC as the seller or manufacturer.
6. Fees and billing
PAC’s Shopify App Store app is currently offered free of charge. If we ever introduce paid plans for merchants who installed PAC through the Shopify App Store, those charges will be billed through Shopify’s billing, in accordance with Shopify’s requirements — never invoiced separately.
For merchants who subscribe to PAC directly (outside the Shopify App Store), pricing is as published on the Service or as separately agreed in writing. Those fees are charged in advance, are non-refundable except as required by law, and exclude taxes; we may change prices on at least 30 days’ notice before your next renewal. Non-payment of fees that apply to you may result in suspension or termination of the Service.
7. Intellectual property
PAC and its licensors own all intellectual property rights in the Service, including software, content, trademarks, and design. You receive a limited, non-exclusive, non-transferable license to use the Service for the duration of your subscription, in accordance with these Terms.
The Service’s software, computation and geometry engine, Mozaik-to-optimizer conversion and CNC export formats, tool-matching methods, and tool and style libraries are PAC’s confidential information and trade secrets.
You retain all rights to the content you upload (door styles, branding, customer data). You grant PAC a worldwide, royalty-free license to host, copy, transmit, and display your content solely to provide the Service.
Door styles & profiles
The door styles, tool profiles, edge and back profiles, and machining programs that PAC creates or provides (including PAC’s library and tool pack) are PAC’s proprietary content. They are shared across Merchants and are not exclusive to any single Merchant, and PAC may create, offer, and sell profiles that are the same as or similar to its own library profiles or to profiles that are common or standard in the cabinet industry (for example, standard Shaker or ogee profiles). Configuring, uploading, or ordering a profile through the Service does not grant you exclusive or patent rights in PAC’s library profiles. This paragraph does not apply to your own original designs, which are governed by the paragraph below.
Notwithstanding the paragraph above, your own original designs — door styles or profiles that you created and upload, and that are not derived from PAC’s library — remain yours. PAC will not offer, sell, or market to other Merchants your original uploaded designs or profiles derived from or substantially similar to them, though PAC may still host, copy, and process them as needed to provide the Service to you. Profiles that are common or standard in the cabinet industry (for example, standard Shaker or ogee profiles) are not “original designs” under this paragraph. This does not affect your rights in your separate branding, logos, and customer data.
8. Confidentiality
Each party agrees not to disclose the other’s confidential information except as necessary to perform under these Terms or as required by law.
9. Warranties and disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PAC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA STORED OR TRANSMITTED THROUGH THE SERVICE WILL NOT BE LOST.
Machining output & equipment
The Service generates door specifications and CNC machine data (including XML and related machining code) from the configuration you provide. This data is provided “AS IS.” You are solely responsible for reviewing, validating, and test-running all generated programs on your own equipment before any production use, and for the safe setup and operation of your machines, tooling, and materials. TO THE FULLEST EXTENT PERMITTED BY LAW, PHILL ANTON CONSULTING IS NOT RESPONSIBLE OR LIABLE FOR ANY DAMAGE TO CNC MACHINES, TOOLING, OR MATERIALS, FOR PRODUCTION ERRORS OR WASTE, OR FOR ANY PERSONAL INJURY, ARISING FROM THE USE OF OR RELIANCE ON DATA GENERATED BY THE SERVICE. Operation of your equipment, and the safety of that operation, remains entirely your responsibility.
Tool paths, G-code & simulation
Without limiting the foregoing: you are responsible for reviewing every generated tool path and the resulting G-code, and for running a complete machine simulation, before cutting any material. The Service’s 3D builder, cross-sections, and on-screen previews are visual representations and estimates only. PAC does not warrant that machined output will correspond exactly to any on-screen preview or generated program; the preview is an estimate only. Verifying that the generated programs produce the intended result on your equipment is your responsibility.
AI-assisted features
Some features — including order and specification import from photos, PDFs, or audio; tool reconstruction from drawings or photos (“Tool Forge”); and configuration suggestions — use automated and AI systems. These are assistive only and may be incomplete or inaccurate. You must review and verify all AI-generated results before relying on them or putting them into production. PAC does not warrant the accuracy of AI-generated output.
Pricing calculations
The Service computes prices from the rules and rates you configure. You are responsible for configuring, reviewing, and verifying your pricing and the resulting quotes. PAC does not warrant that computed prices are correct and is not liable for pricing errors.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. EACH PARTY’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (USD $100) OR (B) THE FEES PAID OR PAYABLE BY YOU TO PAC IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
The foregoing limitations do not apply to: (a) your indemnification obligations under Section 11; (b) your breach of Section 3 (Acceptable use) or of PAC’s intellectual-property or confidentiality rights; or (c) either party’s liability for fraud, gross negligence, or willful misconduct, or any liability that cannot be limited under applicable law.
11. Indemnification
You will defend and indemnify PAC against any third-party claim arising from (a) your use of the Service in breach of these Terms, (b) content you submit through the Service, (c) your violation of any third-party rights including those of your end customers, or (d) any claim by your end customer or any third party relating to the products you sell, including their manufacture, quality, safety, pricing, fulfillment, delivery, installation, returns, refunds, or warranty.
12. Term and termination
- These Terms remain in effect for as long as you have an account with PAC.
- You may cancel at any time from your account settings or by emailing info@phillanton.com.
- We may suspend or terminate your account for material breach (including non-payment, abusive use, or violation of Section 3) on reasonable notice where practical, or immediately if necessary to protect the Service or other users.
- On termination, your right to access the Service ends. We will provide a window of at least 30 days to export your data unless terminating for cause. After that window, we may delete your data as described in the Privacy Policy.
- Survival. Sections 7–11 and 14, and any accrued payment obligations, survive termination.
13. Changes to these Terms
We may update these Terms from time to time. If we make a material change we will notify you by email or via the merchant admin dashboard at least seven days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
14. Governing law and disputes
These Terms are governed by the laws of the State of Minnesota, United States, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Hennepin County, Minnesota for any dispute that cannot be resolved informally.
15. Miscellaneous
- Entire agreement. These Terms together with the Privacy Policy, the Data Processing Agreement, and any order form constitute the entire agreement between the parties on this subject.
- Assignment. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- No waiver. A failure to enforce any provision is not a waiver of the right to do so later.
- Severability. If any provision is unenforceable, the rest remain in effect.
- Force majeure. Neither party is liable for delay or failure caused by events outside its reasonable control.
